Terms of Service

1. Parties

These Terms are an agreement between you and Grogoo FZ-LLC, Ras Al Khaimah Economic Zone, United Arab Emirates, Licence No. 47035672, registered address VUNE2495, Compass Building, Al Hulaila, Al Hulaila Industrial Zone-FZ, Ras Al Khaimah, United Arab Emirates ("Grogoo"). By using grogoo.io, joining the waitlist or creating an account you accept these Terms and the Privacy Policy.

2. Availability

The Grogoo app is not yet available. Until it is released, these Terms govern your use of the website and the waitlist. The sections on accounts, the wallet, cards and payments apply from the moment the service is made available to you. Services are offered only in supported countries and only where permitted by law.

3. Eligibility

You must be at least 18, pass identity verification and not be resident in, or accessing the service from, a country where the service is not offered. You must not be subject to sanctions. Services are not offered to persons in the United States.

4. Account and security

One account per person. You are responsible for your login, payment password and two-factor authentication. Tell us at once about any unauthorised use.

5. Identity verification

We verify your identity before financial features are enabled. We may ask for more information at any time and may limit or refuse service until it is provided.

6. Custodial wallet

Grogoo holds the digital assets credited to your account on your behalf and controls the private keys. The supported asset is USDT on the Ethereum and BNB Smart Chain networks. Assets sent on an unsupported network or of an unsupported type may be lost; recovery is not guaranteed and may carry a fee. Digital assets are not bank deposits and are not covered by any deposit insurance scheme.

7. Deposits and withdrawals

Deposits are credited after the required number of network confirmations. Withdrawals may be subject to manual review, limits and delays for security and compliance reasons. Blockchain transactions cannot be reversed.

8. Cards

Cards are issued by a third-party card issuer named in the app, not by Grogoo, under the issuer's own terms, which you accept when you order a card. Card availability, limits and fees depend on the issuer and on your country.

9. QR payments

QR payments are processed through a third-party payment provider and are available only in the countries shown in the app.

10. Marketplace

Digital goods are supplied by third-party merchants. Purchases are final once delivered unless the law says otherwise.

11. Fees

Fees are shown in the app before you confirm a transaction.

12. Prohibited use

You must not use Grogoo for unlawful activity, money laundering, terrorist financing, sanctions evasion or fraud, on behalf of undisclosed third parties, or in a way that interferes with the service.

13. Suspension and termination

We may suspend or close an account, or freeze a transaction, where the law requires it, where we suspect prohibited use, or where verification is not completed. You may close your account at any time; see grogoo.io/delete-account. On closure you may withdraw your remaining balance unless the law prevents it.

14. Risks

Digital asset values can change. Network and third-party failures may delay or prevent transactions. Nothing on the website or in the app is investment, legal or tax advice.

15. Regulatory status

Grogoo FZ-LLC is registered with the U.S. Financial Crimes Enforcement Network (FinCEN) as a Money Services Business, Registration No. 31000340602242. Registration is not a licence, approval or endorsement by FinCEN or any government agency.

16. Liability

The service is provided as available. To the extent permitted by applicable law, Grogoo is not liable for indirect or consequential losses, for losses caused by third-party providers, blockchain networks or events outside its reasonable control, or for losses caused by your breach of these Terms. Nothing in these Terms limits liability that cannot be limited by law.

17. Governing law and disputes

These Terms are governed by the laws applicable in the Emirate of Ras Al Khaimah and the federal laws of the United Arab Emirates. Please contact us first at complaints@grogoo.io; we aim to resolve complaints within 15 business days. Mandatory consumer rights in your country of residence are not affected.

18. Changes

We may change these Terms. Material changes will be posted on this page and, once the app is available, notified in the app at least 14 days in advance.
